Terms of Service
Effective Date: September 1st, 2025
These Terms of Service (the “Terms”) form a binding agreement between you and JEMSU, LLC (“JEMSU,” “we,” “us,” or “our”) governing your access to and use of One Click Videos (the “Service”), a software-as-a-service platform that generates short‑form videos from product or service URLs and enables distribution to social platforms and other channels.
By creating an account, purchasing or using credits, submitting content, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Quick Summary (not a substitute for the Terms):
- The Service uses AI models from multiple partners; outputs can be imperfect or fail.
- No refunds for AI‑generated videos or poor quality outcomes.
- Each 8‑second of generated video consumes 10 credits (rounded up to the next 8‑second block).
- Credits are held in reserve while a job processes; failed jobs release holds back to your balance.
- You must follow these Terms and our partners’ content policies; we do not allow sexual or violent content.
1. Eligibility & Account Registration
1.1 Minimum Age. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
1.2 Account. You must create an account and provide accurate information. You are responsible for all activities under your account and for keeping your credentials secure. Notify us immediately of any unauthorized use.
1.3 Business Users. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization; references to “you” include the organization.
2. The Service
2.1 AI Video Generation. The Service transforms URLs and your inputs (html, markdown, text, images, audio, configuration) into short‑form videos (“Outputs”) using our software and third‑party AI providers (“AI Partners”). Outputs may contain errors, artifacts, or inaccuracies, and generation may fail for various reasons.
2.2 Third‑Party Integrations. The Service may integrate with platforms such as payment processors (e.g., Stripe), publishing tools (e.g., Ayrshare), and social networks. Your use of any third‑party service is governed by that service’s terms and policies, which may change at any time.
2.3 No Professional Advice. Outputs are generated content and may not be accurate or complete. They are not a substitute for professional advice, human review, or legal clearance.
3. Credits, Pricing, and Billing
3.1 Credits Required. The Service uses a credits system. 10 credits are consumed for up to 8 seconds of generated video. Jobs are billed in 8‑second increments, rounded up (e.g., 0–8 seconds = 10 credits; 16 seconds = 20 credits, etc.).
3.2 Credit Holds (Reservation). When you submit a job, the corresponding credits are held in reserve until the job completes. If a job fails (e.g., AI Partner unavailability, partner content policy rejection, website crawl blocking, or other processing error), the hold is released and the credits return to your available balance. We may mark a job as failed in our reasonable discretion based on provider feedback and system telemetry.
3.3 Purchases & Subscriptions. We may offer prepaid credit packs and/or subscription plans. Prices, features, quantities, and billing cycles are described at checkout and may be updated for future purchases. Taxes may apply and are your responsibility.
3.4 No Refunds for AI Outputs. All sales are final for AI‑generated videos and related credit consumption. AI generation may produce poor visuals or audio; there is no guarantee of quality or suitability. Except where required by law, we do not provide refunds or credits for unsatisfactory Outputs or user error (e.g., incorrect URL, mis‑configuration, or violating content rules).
3.5 Chargebacks. If you initiate a chargeback or payment reversal, we may suspend or terminate your account and pursue any permitted remedies.
3.6 Promotions. Promotional credits or trials may be offered at our discretion and may be subject to additional terms, limited durations, or revocation for misuse.
4. Acceptable Use & Content Rules
4.1 Your Content. You are solely responsible for your inputs, URLs, and any assets you upload or request we process (collectively, “Inputs”). You represent and warrant that you have all rights necessary to use the Inputs and to publish Outputs.
4.2 Prohibited Content. You may not use the Service to generate or distribute content that is:
- Sexual content of any kind (including erotic content, nudity, sexual services, or sexualization of minors);
- Violent content (including graphic violence, glorification of harm, or incitement to violence);
- Illegal or infringing content (including content that violates third‑party IP, publicity, or privacy rights);
- Hate speech, harassment, extremist content, or content promoting discrimination or harm;
- Misleading or deceptive content (e.g., deepfakes) without clear disclosure and all required consents;
- Content that violates any AI Partner policies or the terms of any connected platform (e.g., social networks);
- Malware, spam, or attempts to disrupt or probe our systems or those of partners.
4.3 Partner Policies. Our AI Partners and integrated platforms maintain independent content and usage policies. We enforce these policies and may reject or remove jobs that are non‑compliant. Generation and publishing may fail because of policy enforcement even if your use would otherwise be permitted under these Terms.
4.4 Rate Limits & Fair Use. We may enforce rate limits, concurrency limits, or other technical restrictions to maintain service stability.
5. Ownership, Licenses & Data Use
5.1 Your Ownership. As between you and JEMSU, and to the fullest extent permitted by applicable law and our AI Partners’ terms, you own your Inputs and Outputs. You are responsible for verifying that any Output does not infringe third‑party rights and is cleared for your intended uses (e.g., music, likeness, brand marks, or copyrighted text/images present on the source URL).
5.2 License to JEMSU. You grant JEMSU a worldwide, non‑exclusive, royalty‑free license to host, process, adapt, and transmit your Inputs and Outputs solely to provide the Service and, if you choose to publish via connected platforms, to deliver the content to those platforms. You may revoke publishing access by disconnecting integrations.
5.3 Model Improvement & Privacy. JEMSU does not use your Inputs or Outputs to train our proprietary models unless you opt in (if/when offered). However, our AI Partners may have their own default data‑use settings. See our Privacy Policy for details and available opt‑outs. You are responsible for ensuring your use complies with your privacy obligations to end users.
5.4 Feedback. You grant us a perpetual, irrevocable, worldwide, royalty‑free license to use and incorporate any suggestions or feedback you provide into the Service without restriction.
6. Publishing & Third‑Party Platforms
6.1 Platform Rules. If you publish Outputs to social networks or other third‑party services through the Service, you must comply with each platform’s terms, community standards, and advertising rules.
6.2 No Affiliation or Endorsement. JEMSU is not affiliated with or endorsed by any third‑party platforms referenced. Platform availability may change at any time.
6.3 Takedowns. Platforms may remove or limit distribution of content at their discretion. We are not responsible for such actions.
7. Service Changes, Availability & Support
7.1 Changes. We may modify or discontinue features, impose new limits, or update the Service at any time. Where required by law, we will provide notice of material changes.
7.2 Availability. The Service depends on networks, cloud infrastructure, and AI Partner APIs. Uptime is not guaranteed. Outages, rate limits, or partner incidents may impact performance or availability.
7.3 Support. We provide commercially reasonable support via channels described on our website. Support does not include custom engineering or legal review unless separately agreed in writing.
8. Term; Suspension; Termination
8.1 Term. These Terms apply from your first use of the Service and continue until terminated.
8.2 Suspension/Termination by JEMSU. We may suspend or terminate your access (with or without notice) if we believe you violated these Terms, engaged in fraudulent or abusive practices, failed to pay, or if continued access presents risk to us, our partners, or others.
8.3 Your Termination. You may stop using the Service at any time. If you cancel a subscription, it will continue until the end of the then‑current billing period; no refunds are provided for partial periods.
8.4 Effect of Termination. Upon termination, your right to use the Service ends. Certain sections survive termination, including 3.4, 4, 5, 8.4, 9, 10, 11, and 12.
9. Warranties; Disclaimers
9.1 AS IS. THE SERVICE, INCLUDING ALL OUTPUTS, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, JEMSU AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
9.2 AI Specific. WE DO NOT WARRANT THAT OUTPUTS WILL BE ERROR‑FREE, ORIGINAL, NON‑INFRINGING, OR SUITABLE FOR ANY PURPOSE. AI GENERATION MAY PRODUCE INACCURATE, OFFENSIVE, OR OTHERWISE UNDESIRABLE RESULTS. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE USE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL JEMSU, ITS AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION; IN EACH CASE ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF JEMSU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO JEMSU FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) $100 USD. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.
11. Indemnification
You will indemnify, defend, and hold harmless JEMSU, its affiliates, officers, directors, employees, and agents from and against all third‑party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your Inputs or Outputs; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your use of third‑party services.
12. DMCA & IP Complaints
If you believe content accessible through the Service infringes your copyright, please send a notice pursuant to the U.S. Digital Millennium Copyright Act (17 U.S.C. §512) to our designated agent at [[email protected]] with: (1) your contact details; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material; (4) a statement of good‑faith belief; (5) a statement under penalty of perjury; and (6) your physical or electronic signature. We may remove content or disable access at our discretion.
13. Privacy
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and disclose personal information. By using the Service, you consent to the practices described in the Privacy Policy.
14. Export Controls & Sanctions
You may not use the Service if you are located in, under the control of, or a national or resident of any country subject to U.S. embargo or sanctions, or if you are on any U.S. government restricted party list. You agree to comply with all applicable export and re‑export restrictions and laws.
15. Dispute Resolution; Governing Law
15.1 Governing Law. These Terms are governed by the laws of the [State/Province: e.g., Colorado], without regard to its conflict‑of‑laws rules, and the United States federal law where applicable.
15.2 Venue. Except as provided below, the courts located in [City, State: e.g., Denver, Colorado] shall have exclusive jurisdiction.
15.3 Arbitration; Class Action Waiver (Optional). At JEMSU’s election, any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration administered by [Arbitration Provider, e.g., AAA] under its rules. YOU WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. This subsection does not apply where prohibited by law. If you are a consumer in the EEA, you may have additional mandatory rights.
16. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or in‑product notice). Your continued use of the Service after the effective date of updated Terms constitutes acceptance.
17. Miscellaneous
17.1 Entire Agreement. These Terms, any order forms, and the Privacy Policy constitute the entire agreement between you and JEMSU.
17.2 Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remaining provisions will remain in full force.
17.3 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.4 Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control (e.g., internet outages, labor disputes, natural disasters, acts of government, failures of AI Partners).
17.5 Notices. We may provide notices via email, in‑product messages, or by posting to our website. You consent to electronic communications.

18. Definitions
- Inputs: The URLs, text prompts, scripts, images, audio, configurations, and other materials you provide to the Service.
- Outputs: The videos or other content generated by the Service based on your Inputs.
- AI Partners: Third‑party AI providers and related infrastructure services we use to process Inputs and generate Outputs.
- Credits: The unit of measure for using generation features in the Service.
Acknowledgment of Key Commercial Terms
By purchasing and using credits in One Click Videos you acknowledge and agree:
- No refunds for AI‑generated videos, even where visuals or audio are poor or not as expected;
- Credits reserved during processing and released back for failed jobs at JEMSU’s discretion;
- Partner policies may block or remove content and generation can fail due to factors outside JEMSU’s control (e.g., API unavailability, policy violations, crawl blocks); and
- No outcome guarantees—we strive for good results, but success depends on many variables including your Inputs and third‑party systems.
